1. Introduction and Acceptance
These Terms of Use ("Terms") govern access to and use of InventScope websites, applications, software, platforms, artificial intelligence systems, APIs, products, professional services, managed services, consulting services, training offerings, customer portals, documentation, content, and related technologies made available by InventScope, LLC ("InventScope," "we," "our," or "us").
By accessing or using any InventScope offering, clicking an acceptance box, creating an account, requesting a demo, submitting information through our website, using an AI-enabled interface, signing an order form or statement of work that references these Terms, or otherwise receiving InventScope products or services, you agree to be bound by these Terms.
If you access or use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" and "Customer" refer to that organization and its authorized users.
If you do not agree to these Terms, you may not access or use the Services.
2. Effective Date, Notice, and Changes
These Terms are effective as of August 1, 2026. They apply to access to and use of the Services on and after the Effective Date.
InventScope may update these Terms from time to time. Updated terms will be posted with a revised "Last Updated" date. For material changes, InventScope may provide additional notice through the website, product interface, email, order form, or other reasonable method.
Unless a different effective date is stated, changes become effective when posted. Continued access to or use of the Services after changes become effective constitutes acceptance of the updated Terms.
For certain products, accounts, subscriptions, APIs, or customer environments, InventScope may require affirmative acceptance of updated terms before continued use.
3. Relationship to Other Agreements
These Terms provide a baseline framework for public website use, product access, trials, demonstrations, SaaS offerings, AI systems, APIs, managed services, professional services, consulting services, support, and other interactions with InventScope.
If you and InventScope enter into a signed Master Services Agreement, Statement of Work, Order Form, Data Processing Addendum, AI Services Addendum, or other written agreement, that signed agreement controls to the extent it conflicts with these Terms for the specific engagement or service described in that agreement.
Purchase order terms, vendor portal terms, or similar customer-provided terms do not modify these Terms unless InventScope expressly agrees in a signed writing.
4. Services Covered
The "Services" include all InventScope products, platforms, websites, applications, hosted services, SaaS offerings, AI systems, digital assistants, AI agents, APIs, dashboards, analytics tools, automation capabilities, data processing workflows, managed services, professional services, consulting, implementation, integration, training, support, documentation, content, and related offerings made available by InventScope now or in the future.
The Services may include AI-enabled capabilities such as natural language processing, generative AI, machine learning, retrieval-augmented generation, automation, agentic workflows, analytics, recommendations, decision-support tools, and other intelligent technology features.
InventScope may add, modify, improve, suspend, discontinue, or replace features over time, subject to any binding commitments in an applicable signed agreement.
5. Eligibility and Authorized Use
You must be at least 18 years old and legally able to enter into these Terms.
You may use the Services only for lawful business purposes and in accordance with these Terms, applicable documentation, product notices, service descriptions, order forms, and applicable laws.
You are responsible for ensuring that your users, employees, contractors, agents, and other representatives comply with these Terms.
6. Accounts, Credentials, and Security
If the Services require an account, you must provide accurate information and keep account information current.
You are responsible for all activity under your accounts, credentials, API keys, tokens, integrations, cloud environments, and authorized users.
You must protect credentials, use reasonable security measures, promptly revoke access for unauthorized users, and notify InventScope of suspected unauthorized access, compromise, misuse, or security incidents involving the Services.
InventScope may suspend or restrict access if it reasonably believes there is a security risk, account compromise, policy violation, unlawful activity, excessive usage, or risk to InventScope, customers, users, third-party providers, or platform integrity.
7. Customer Content and Inputs
"Customer Content" means data, files, records, prompts, inputs, documents, text, images, configurations, credentials, logs, database content, business information, and other materials submitted, uploaded, connected, accessed, or made available by you or on your behalf through the Services.
As between you and InventScope, you retain ownership of Customer Content, subject to the rights granted in these Terms and any applicable agreement.
You grant InventScope a limited right to host, process, transmit, display, reproduce, analyze, secure, support, and otherwise use Customer Content as necessary to provide, maintain, secure, improve, troubleshoot, and support the Services, and as otherwise permitted by your instructions or applicable agreements.
You are responsible for the accuracy, quality, legality, authorization, and appropriateness of Customer Content and for obtaining any rights, permissions, notices, and consents required for InventScope to process Customer Content.
8. AI Services, Outputs, and Human Review
The Services may generate, summarize, classify, transform, recommend, analyze, draft, automate, or otherwise produce outputs using AI-enabled systems ("Outputs").
AI Outputs may be inaccurate, incomplete, biased, outdated, offensive, duplicative, non-deterministic, or unsuitable for your intended use. Outputs are not guaranteed to be correct, unique, complete, legally compliant, non-infringing, secure, or fit for a particular purpose.
You are responsible for reviewing, validating, testing, and applying domain judgment before using or relying on Outputs. You must maintain appropriate human oversight, especially for consequential, regulated, safety-sensitive, rights-impacting, financial, legal, employment, healthcare, eligibility, credit, housing, education, compliance, security, or operational decisions.
InventScope does not provide legal, medical, financial, tax, accounting, regulatory, insurance, employment, or other licensed professional advice unless expressly stated in a signed agreement and performed by appropriately qualified professionals.
9. Customer Decisions and Business Outcomes
InventScope may provide recommendations, analysis, roadmaps, dashboards, strategic advisory materials, AI-assisted content, technical guidance, implementation support, and decision-support information.
You remain solely responsible for business decisions, operational decisions, compliance determinations, risk acceptance, implementation choices, management approvals, user communications, and outcomes based on your use of the Services.
InventScope does not guarantee revenue growth, cost savings, productivity improvement, regulatory approval, investment outcomes, adoption outcomes, specific return on investment, or successful business results unless expressly stated in a signed agreement.
10. AI Training and Model Improvement
InventScope does not intentionally use Customer Content to train generally available public artificial intelligence models without Customer authorization.
InventScope may use aggregated, de-identified, telemetry, usage, diagnostic, security, performance, and operational data to operate, secure, analyze, improve, and support the Services, provided such use does not identify Customer or disclose Customer Confidential Information.
If a specific product, order form, SOW, or customer instruction allows additional use of Customer Content for training, tuning, evaluation, or improvement, that authorization must be documented in the applicable agreement, product setting, or written instruction.
11. Acceptable Use Across All Systems
You may not use the Services to violate law, infringe rights, transmit malicious code, compromise systems, interfere with others, overload infrastructure, scrape or extract content except as authorized, bypass usage controls, avoid fees, perform unauthorized security testing, or gain unauthorized access to systems, models, data, credentials, environments, or accounts.
You may not copy, reverse engineer, decompile, disassemble, modify, create derivative works from, benchmark for publication, resell, sublicense, provide service bureau access to, extract model weights or system prompts from, remove proprietary notices from, or otherwise exploit InventScope Products except as expressly permitted by InventScope.
You may not use the Services for fraudulent, deceptive, defamatory, harassing, abusive, discriminatory, harmful, exploitative, privacy-invasive, unlawful, or unauthorized activities.
You may not interfere with monitoring, logging, safeguards, rate limits, access controls, security controls, safety systems, usage metering, support processes, or managed service operations.
12. AI-Specific Prohibited Uses
You may not use AI-enabled Services to create, facilitate, or support malware, credential theft, phishing, unauthorized surveillance, social engineering, data exfiltration, model extraction, prompt injection attacks, security bypasses, evasion techniques, or other harmful technical activity.
You may not attempt to jailbreak, bypass, disable, manipulate, or circumvent AI safeguards, content filters, system instructions, intended use limitations, or access restrictions.
You may not use AI-enabled Services as the sole basis for high-impact or consequential decisions involving legal rights, employment, finance, lending, housing, education, healthcare, insurance, safety, public services, law enforcement, eligibility, regulatory compliance, or similar domains without appropriate human review and compliance controls.
You may not represent AI Outputs as human-generated, independently verified, professional advice, or guaranteed factual truth unless you have independently reviewed and validated them.
13. Subscriptions, Trials, Usage Limits, and Billing
Certain Services may be provided on a subscription, trial, usage-based, retainer, managed services, project, time-and-materials, fixed-fee, or hybrid basis as described in an order form, SOW, invoice, quote, or product plan.
Usage limits, user quantities, environments, seats, API calls, storage, compute, model usage, support level, availability targets, and other entitlements may be defined in the applicable plan or order documentation.
Trials, previews, pilots, betas, evaluation environments, demos, and proof-of-concept offerings may be limited, modified, suspended, or discontinued at any time unless otherwise stated in writing.
Fees, taxes, payment terms, renewals, cancellations, refunds, credits, and billing disputes are governed by the applicable order form, SOW, invoice, checkout page, subscription plan, or signed agreement.
14. Managed Services and Operational Access
For managed services, support, administration, monitoring, hosting, configuration, integration, or maintenance, InventScope may access customer-authorized systems, environments, data, logs, dashboards, tools, or cloud resources as reasonably necessary to provide the Services.
You are responsible for maintaining appropriate authorization, licenses, tenant governance, identity administration, backup controls, security posture, business continuity controls, and third-party subscriptions for customer-owned environments unless expressly assumed by InventScope in a signed agreement.
InventScope may take reasonable emergency actions to preserve security, stability, service integrity, or operational continuity, including suspending access, disabling integrations, applying patches, limiting activity, or escalating support, where appropriate.
15. Third-Party Services, Providers, and Open Source
The Services may depend on third-party cloud services, AI models, APIs, identity providers, payment processors, communication providers, analytics tools, monitoring tools, security services, open-source software, data sources, platforms, plugins, or customer-selected systems.
Third-party services are governed by their own terms, policies, availability, performance, pricing, data handling, and usage restrictions. InventScope is not responsible for third-party services outside its reasonable control.
Open-source software is licensed under its applicable open-source license and not under these Terms.
16. Privacy and Data Protection
InventScope handles personal information as described in the InventScope Privacy Policy, which is incorporated into these Terms by reference.
If InventScope processes personal information or regulated data on behalf of a customer under a signed agreement, data processing terms may be set out in a Data Processing Addendum, SOW, order form, or separate written agreement.
You are responsible for determining whether your use of the Services complies with privacy, security, data protection, retention, notice, consent, and industry-specific requirements applicable to you.
17. Intellectual Property
InventScope and its licensors retain all right, title, and interest in and to the Services, InventScope Products, software, source code, object code, platforms, workflows, AI systems, agents, prompt patterns, templates, frameworks, accelerators, methodologies, analytics tools, dashboards, automation components, documentation, training materials, designs, inventions, know-how, trade secrets, trademarks, service marks, logos, branding, and related intellectual property.
Except as expressly permitted, these Terms do not transfer ownership of any InventScope intellectual property to you.
Subject to your compliance with these Terms and applicable payment obligations, InventScope grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes during the applicable term.
You may provide suggestions, comments, ideas, enhancement requests, or other feedback. InventScope may use feedback without restriction or obligation to you, provided InventScope does not disclose your Confidential Information.
18. Deliverables and Professional Services Work Product
Ownership and use rights for deliverables created under professional services, consulting, implementation, managed services, or SOW-based work are governed by the applicable signed agreement, SOW, order form, or service description.
Unless expressly assigned in a signed agreement, InventScope retains ownership of reusable components, background technology, pre-existing materials, methods, know-how, templates, prompt patterns, accelerators, frameworks, platform assets, and general knowledge developed or used in providing services.
19. Confidentiality
Each party may receive non-public business, technical, financial, customer, security, product, operational, or other information that should reasonably be understood as confidential ("Confidential Information").
The receiving party will use Confidential Information only for purposes related to the Services, protect it using reasonable care, and disclose it only to personnel, advisors, contractors, service providers, or representatives with a need to know and appropriate confidentiality obligations.
Confidential Information does not include information that is publicly available without breach, independently developed without use of Confidential Information, rightfully received from a third party without confidentiality obligation, or approved for release in writing.
20. Security, Incidents, and Cooperation
InventScope uses commercially reasonable administrative, technical, and organizational safeguards designed to protect systems and information in its possession or control.
No service, system, transmission, storage method, or security measure can guarantee absolute security.
You must promptly notify InventScope of suspected vulnerabilities, compromises, unauthorized access, misuse, or security incidents involving the Services and cooperate reasonably with investigation, containment, remediation, and legally required notifications.
You may not publicly disclose security vulnerabilities affecting InventScope without giving InventScope reasonable opportunity to investigate and remediate, except where prohibited by law.
21. Support, Maintenance, and Availability
Support, maintenance, response targets, service levels, availability targets, service credits, and escalation procedures apply only if expressly stated in an applicable signed agreement, order form, SOW, support plan, or service description.
Unless expressly stated, response targets and uptime objectives are service objectives and not warranties.
InventScope may perform scheduled or emergency maintenance, updates, patches, configuration changes, security work, or operational improvements that may affect access to the Services.
22. Compliance and Customer Responsibilities
Each party is responsible for complying with laws applicable to its own activities.
You are responsible for determining whether your use of the Services complies with laws, regulations, industry standards, internal policies, procurement requirements, security requirements, and third-party terms applicable to you.
You may not use the Services in violation of export controls, sanctions, anti-corruption laws, privacy laws, intellectual property laws, or other applicable legal requirements.
23. Communications and Electronic Notices
InventScope may provide notices by posting on a website or product interface, sending email to addresses associated with your account or inquiry, including notices in an invoice or order form, or using other reasonable communication methods.
You consent to electronic communications and agree that electronic notices, records, disclosures, and signatures satisfy legal requirements that such communications be in writing, to the extent permitted by law.
You are responsible for keeping contact information current.
24. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVENTSCOPE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, UNINTERRUPTED OPERATION, ERROR-FREE PERFORMANCE, AND COMPATIBILITY WITH CUSTOMER SYSTEMS.
INVENTSCOPE DOES NOT WARRANT THAT AI OUTPUTS, RECOMMENDATIONS, ANALYSES, AUTOMATIONS, OR DECISION-SUPPORT MATERIALS WILL BE ACCURATE, COMPLETE, CURRENT, NON-INFRINGING, UNBIASED, SAFE, OR SUITABLE FOR ANY PARTICULAR USE.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVENTSCOPE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOSS OF BUSINESS; LOSS OF GOODWILL; BUSINESS INTERRUPTION; LOSS OR CORRUPTION OF DATA; COST OF SUBSTITUTE GOODS OR SERVICES; OR DAMAGES ARISING FROM AI OUTPUTS, THIRD-PARTY SERVICES, CUSTOMER CONTENT, CUSTOMER SYSTEMS, OR CUSTOMER DECISIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVENTSCOPE’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO INVENTSCOPE FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100) IF NO AMOUNTS WERE PAID.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.
26. Indemnification
You will defend, indemnify, and hold harmless InventScope and its members, managers, officers, employees, contractors, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to Customer Content, your use or misuse of the Services, violation of these Terms, violation of law, infringement or misappropriation of third-party rights, unauthorized use of AI Outputs, customer systems, customer instructions, or decisions made based on Services or Outputs.
27. Suspension and Termination
InventScope may suspend or terminate access to the Services if you violate these Terms, fail to pay amounts due, create security or operational risk, engage in unlawful activity, exceed usage limits, misuse the Services, or cause risk to InventScope, users, customers, providers, systems, data, personnel, or platform integrity.
You may stop using the Services at any time, subject to payment obligations, subscription commitments, cancellation requirements, and any applicable signed agreement.
Upon termination, your right to access the affected Services ends. Sections that by their nature should survive will survive, including intellectual property, payment obligations, confidentiality, disclaimers, limitations of liability, indemnification, governing law, and dispute terms.
28. Beta, Preview, and Evaluation Features
InventScope may make beta, preview, pilot, experimental, evaluation, trial, or early access features available from time to time.
Such features may be incomplete, unstable, changed, suspended, discontinued, or unavailable, and may be subject to additional restrictions or notices.
Unless otherwise stated, beta, preview, pilot, experimental, and evaluation features are provided without warranty, service level commitment, support commitment, or liability.
29. Governing Law and Venue
These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
Unless a signed agreement states otherwise, the parties consent to exclusive jurisdiction and venue in the state and federal courts located in Maricopa County, Arizona for disputes arising out of or relating to these Terms or the Services.
30. Miscellaneous
These Terms, together with applicable policies, product notices, service descriptions, order forms, SOWs, or signed agreements, constitute the applicable agreement between you and InventScope for the Services covered by them.
If any provision is held invalid or unenforceable, the remaining provisions will remain in effect, and the invalid or unenforceable provision will be interpreted to achieve its intended purpose to the maximum extent permitted by law.
InventScope may assign these Terms in connection with a merger, acquisition, reorganization, financing, sale of assets, or similar transaction. You may not assign these Terms without InventScope’s prior written consent.
Failure to enforce a provision is not a waiver. Headings are for convenience only. The word "including" means "including without limitation."
